Terms and Conditions

These Terms and Conditions govern the use of the counselhub.mx site and the engagement of the legal services offered under the trade name CounselHub. Please read them carefully. By using the site or engaging our services, you accept these terms.
1. Who we are
CounselHub is the trade name under which Lic. Daniel Nájera de los Santos provides professional legal advisory services, with an address at Antiguo San Agustín 305, Colonia Antiguo San Agustín, San Pedro Garza García, Nuevo León, C.P. 66278, Mexico. In these terms we refer to him as "CounselHub" or "we", and to the person or company that engages our services as "the Client".

2. Use of the site
The content of this site, including the blog articles and the news ticker, is informational and general in nature. It does not constitute legal advice for a specific case, nor does it replace a lawyer's opinion on your particular situation. The news and articles reflect the public information available on the date they were published and may change over time.
Sending a message, filling out the contact form or writing to us on WhatsApp does not create an attorney client relationship. That relationship begins only when the Client accepts a CounselHub quote or service proposal in writing.
You agree to use the site lawfully, not to attempt to damage it, alter it or access restricted areas, and to provide truthful information when you contact us.
3. Engagement of services by quote
All of our services are engaged through a quote. Before starting any work, we send the Client a written quote or proposal describing the scope of the services, the deliverables, the estimated timelines, the amount of the fees and the applicable payment arrangement. The services are deemed engaged when the Client accepts the quote in writing, either by signing it or by confirming it by email.
The quote applies exclusively to the services described in it. Any additional work, change in scope, extended negotiation or unforeseen complication is quoted separately and requires the Client's approval before it is performed.
The monthly plans shown on the site are general references. The final terms of each plan, including its scope and limits, are those set out in the quote accepted by the Client.
4. Matters outside our practice and network of allied attorneys
We directly handle matters of corporate law, contracts, real estate, preventive employment law, transactions between Mexico and the United States, and commercial and financial litigation. For matters not handled in house at CounselHub, such as criminal matters or general litigation, we have a network of allied attorneys who can assist the Client, subject to a special quote.
When the Client decides to engage an allied attorney, the special quote will state who will provide the service, its scope and the fees. No matter is referred to an allied attorney without the Client's prior authorization.
5. Monthly plans
Monthly plans are engaged for one month periods and renew automatically each month unless either party cancels them. The Client may cancel its plan at any time, without penalty, by giving written notice at least 30 calendar days in advance. Services not used in a given month do not carry over to later months and do not entitle the Client to a refund.
Work that exceeds the limits of the engaged plan is quoted separately, with any preferred discount stated in the quote.
6. Fees, expenses and payment arrangement
Fees, the method and the dates of payment are set out in each quote and in the corresponding payment arrangement. When the quote so provides, CounselHub may request an advance payment before starting the services.
Fees do not include expenses or payments to third parties, such as notary public or commercial notary (corredor público) fees and expenses, registration fees, payments to authorities, translations, courier services, travel or expert witness services. These expenses are disclosed to the Client and charged separately. We will not incur extraordinary expenses without the Client's prior approval.
7. Billing
Monthly plan fees are charged through an invoice or billing statement that we send to the Client's email at the beginning of each month. Project based services are charged according to the payment arrangement in the quote. Payments are made by bank transfer to the account indicated in the invoice, within the term set by the invoice itself or by the payment arrangement.
If the Client requires a Mexican tax invoice (Comprobante Fiscal Digital por Internet, CFDI), the Client must request it and provide its tax information, and the applicable Value Added Tax (IVA) will be added to the amount.
If the Client fails to make a payment within the agreed term, CounselHub may suspend the services until the payment is brought current, or terminate them, without prejudice to collecting the fees and expenses already incurred.
8. Client obligations
The Client agrees to provide complete, truthful and timely information, as well as the documents we request, and to inform us of any relevant change in its matter. The quality and timing of our services depend on that cooperation. CounselHub will not be liable for consequences arising from false or incomplete information or information delivered late.
9. Confidentiality and professional secrecy
We treat all Client information with strict confidentiality and in accordance with the professional secrecy inherent to legal practice. We only share it with third parties when the Client authorizes it, when it is necessary to provide the engaged service (for example, before a notary or an authority) or when a law or a competent authority requires it.
10. Conflicts of interest
Before accepting a matter, we check that there is no conflict of interest. If a potential conflict arises while the services are being provided, we will inform the Client and, where appropriate, may terminate the services under the terms of section 14.
11. Communications
Communications with the Client take place by email, video call, phone and WhatsApp. Relevant instructions and approvals must be recorded in writing, by email or message. We work in Spanish and English.
12. Scope of our liability
Our services are an obligation of means and not of results: we commit to providing them with diligence, professionalism and in accordance with applicable law, but we cannot guarantee the outcome of a lawsuit, filing, negotiation or decision by an authority, which depend on third parties.
Except in cases of willful misconduct or gross negligence, CounselHub's liability arising from a matter is limited to the amount of the fees actually paid by the Client for that matter.
13. Intellectual property
The texts, designs, logos, articles and other content of the site belong to CounselHub or to their respective owners and are protected by intellectual property laws. They may not be copied or used for commercial purposes without written authorization. The photographs on the site come from Unsplash and belong to their authors.
The documents we prepare for the Client may be used by the Client for the purpose for which they were engaged once the corresponding fees have been paid. CounselHub retains the right to use its templates, know how and methodologies in other matters, without disclosing the Client's confidential information.
14. Termination of services
The Client may terminate the services at any time by giving written notice, with the advance notice provided in section 5 in the case of monthly plans. CounselHub may terminate the services for nonpayment, lack of cooperation by the Client, a conflict of interest or any cause that prevents providing them ethically and professionally, giving reasonable advance notice so the Client can take the necessary measures. In all cases, the Client must pay the fees and expenses incurred up to the termination date.
15. Document retention
We keep the files for each matter for as long as applicable law requires. When a matter ends, the Client may request the return of the original documents it delivered to us.
16. Personal data protection
The processing of personal data is governed by our Privacy Notice, and the use of cookies and similar technologies by our Cookie Policy.
17. Changes to these terms
We may update these Terms and Conditions at any time. The current version is the one published on this page. Changes do not affect quotes already accepted, which are governed by their own terms.
18. Precedence, language, governing law and jurisdiction
In the event of any discrepancy between these terms and a quote or proposal accepted by the Client, the terms of the quote prevail. These terms may be published in other languages for reference only; in the event of any discrepancy, the Spanish version prevails.
These terms are governed by the federal laws of the United Mexican States and the laws of the State of Nuevo León. For their interpretation and performance, the parties submit to the competent courts of Monterrey, Nuevo León, and waive any other jurisdiction that may correspond to them by reason of their present or future domicile.
